Eaon Plan Terms of Service

These Terms of Service (“Terms”) govern access to and use of Eaon Plan, including Eaon websites, applications, APIs, AI features, models, tools, accounts, subscriptions, and related services (collectively, the “Service”).

These Terms form an agreement between you and Eaon, operator of Eaon Plan (“Eaon,” “we,” “us,” or “our”).

By creating an account, purchasing a subscription, obtaining or using an API key, or otherwise accessing the Service, you agree to these Terms.

If you do not agree, do not use Eaon.

1. Eligibility

You must be at least 13 years old to use Eaon.

If you are under 18, you must have the permission and supervision of a parent or legal guardian where required by applicable law.

If the law where you live establishes a higher minimum age or additional requirements for online services, those requirements apply.

You may not use Eaon where doing so would violate applicable law.

2. Your Account

You are responsible for:

  • providing accurate account information;
  • keeping your account information reasonably current;
  • protecting your password, authentication credentials, and API keys;
  • ensuring that people you authorize to use your credentials comply with these Terms; and
  • all activity occurring through your account or credentials.

You must notify us promptly at sanscreates@eaon.dev if you believe your account or credentials have been compromised.

3. API Keys and Credential Sharing

Eaon may issue API keys or other credentials that allow access to portions of the Service.

Where Eaon permits it, you may use a key across your own devices, applications, projects, or with trusted people you authorize.

Sharing a key does not transfer responsibility for that key.

The Eaon account holder remains responsible for:

  • requests made with the key;
  • usage consumed by the key;
  • activity performed through the key;
  • violations committed using the key; and
  • charges, limits, or consequences associated with the key.

You should not post an API key publicly or provide it to an untrusted party.

Eaon may revoke, rotate, restrict, or disable a key when necessary for security, abuse prevention, account protection, or enforcement of these Terms.

4. No Resale

Eaon accounts, subscriptions, API keys, usage allocations, quotas, and access rights are provided for the authorized user's own use and may not be commercially resold.

You may not:

  • sell an Eaon account;
  • sell or rent an Eaon API key;
  • sell access to an Eaon subscription;
  • resell Eaon model calls or usage allowances;
  • operate a commercial API relay or gateway primarily using Eaon access;
  • charge others specifically for access to Eaon usage;
  • transfer quotas or unused usage between unrelated users for payment; or
  • package Eaon access as a competing inference or API resale service.

Permitted sharing under Section 3 does not constitute permission to resell the Service.

Eaon may offer separate commercial, developer, team, embedded, or redistribution arrangements in the future. Those arrangements require express authorization from Eaon.

5. What Eaon Provides

Eaon provides software that allows users to interact with artificial intelligence models and related tools.

Eaon relies on third-party infrastructure, inference services, model providers, hosting providers, and other technical services to provide portions of the Service.

A request may pass through one or more infrastructure systems before reaching the AI model that processes it.

Eaon does not itself develop or operate every AI model available through the Service.

6. Third-Party Models and Infrastructure

Availability of a particular model may depend on third-party infrastructure outside Eaon's direct control.

Models may be:

  • added;
  • removed;
  • renamed;
  • upgraded;
  • replaced;
  • temporarily unavailable;
  • rate limited;
  • subject to different context limits; or
  • routed through different technical infrastructure.

Eaon does not guarantee permanent access to any specific model, provider, model version, endpoint, context length, feature, latency level, or capability.

We may change routing or infrastructure without notice when reasonably necessary to maintain or improve the Service.

7. Eaon Plan Subscription

The Eaon Plan is currently offered at $5 USD per month, unless a different price is displayed before purchase.

The information shown at checkout controls the actual:

  • price;
  • currency;
  • billing interval;
  • promotional period;
  • taxes; and
  • renewal conditions

applicable to your subscription.

8. Automatic Renewal

Unless otherwise clearly stated at checkout, Eaon subscriptions automatically renew at the end of each billing period until canceled.

Before purchasing an automatically renewing subscription, Eaon will disclose the recurring price and billing frequency and obtain any consent required by applicable law.

By purchasing an automatically renewing subscription, you authorize Eaon and its payment processor to charge your selected payment method on each renewal date until cancellation.

9. Cancellation

You may cancel your Eaon subscription using the cancellation controls provided through your account or billing interface, or through another method we make available.

Cancellation stops future renewals.

Unless otherwise stated, cancellation does not immediately terminate the remainder of a billing period that has already been paid for. Your subscription generally remains active until the end of that period.

If a subscription is purchased through a third-party platform, that platform may control cancellation.

10. Refunds

Except where otherwise stated or required by law, subscription payments are non-refundable after a billing period begins.

Eaon may issue refunds or account adjustments at its discretion for circumstances including:

  • duplicate payments;
  • billing errors;
  • unauthorized charges confirmed by Eaon;
  • significant Service failures; or
  • other exceptional situations.

Nothing in these Terms limits refund, cancellation, or consumer rights that cannot legally be waived.

11. Transparent Usage

Eaon may measure usage based on the actual or estimated resources consumed by requests.

Usage accounting may consider factors such as:

  • input tokens;
  • output tokens;
  • cached input;
  • cache writes;
  • reasoning tokens;
  • model selected;
  • images, audio, video, or other media;
  • tool calls;
  • search usage;
  • model-specific billing rates;
  • provider-specific billing methods; and
  • other measurable computing or inference resources.

Different models may consume your plan allowance at different rates.

12. Usage Windows and Limits

Eaon subscriptions may include multiple usage limits or rate-limit windows, including short-term, multi-hour, daily, weekly, or monthly limits.

Current limits are displayed in the Service or applicable plan documentation.

Limits may vary by:

  • model;
  • feature;
  • account type;
  • system demand;
  • infrastructure availability;
  • promotional status; or
  • abuse-prevention requirements.

Reaching a usage limit may temporarily prevent additional requests or restrict access to certain models until the applicable window resets.

13. API-Equivalent Value and Usage Estimates

Eaon may describe plan usage using estimates such as:

  • “API-equivalent value”;
  • “API-equivalent cost”;
  • estimated provider value;
  • estimated inference value;
  • estimated savings; or
  • similar dollar-denominated comparisons.

These figures are provided for informational and comparative purposes.

They are not cash, stored monetary value, redeemable credit, a bank balance, a financial instrument, or a guarantee that Eaon will pay or incur that exact amount to provide your usage.

An estimate may differ from Eaon's actual cost because of:

  • caching;
  • negotiated or discounted pricing;
  • traffic aggregation;
  • routing;
  • promotions;
  • changing model prices;
  • token-accounting differences;
  • infrastructure efficiencies; or
  • other factors.

Unused plan usage has no cash value and does not roll over unless Eaon expressly states otherwise.

14. Fair and Reasonable Usage

Eaon is designed to provide high usage limits to legitimate users.

You may not deliberately manipulate, exploit, or circumvent Eaon's usage system.

Prohibited conduct includes:

  • bypassing usage accounting;
  • bypassing rate limits;
  • manipulating requests to avoid charges;
  • exploiting implementation bugs to obtain additional usage;
  • creating multiple accounts to evade limits;
  • automating account creation to aggregate quotas;
  • altering usage records;
  • intercepting internal credentials;
  • unauthorized access to private endpoints; or
  • intentionally causing Eaon to incorrectly calculate usage.

We may correct inaccurate usage records caused by technical errors.

15. Automated Usage

Automation is permitted only to the extent supported by the applicable Eaon feature and provided that it does not:

  • circumvent quotas;
  • create unreasonable load;
  • degrade the Service for others;
  • generate abusive traffic;
  • violate these Terms; or
  • violate applicable law.

Eaon may impose rate limits or technical safeguards on automated access.

16. Acceptable Use

You may not use Eaon to:

  • violate applicable laws or regulations;
  • infringe another person's rights;
  • conduct fraud, phishing, scams, or credential theft;
  • distribute malware or malicious software;
  • attempt unauthorized access to systems or accounts;
  • intentionally disrupt or degrade systems or networks;
  • perform denial-of-service attacks;
  • exploit or sexually abuse minors;
  • facilitate unlawful violence;
  • generate or distribute unlawful content;
  • conduct malicious scraping or excessive automated requests that harm service stability;
  • bypass billing or usage controls; or
  • otherwise use the Service in a manner that creates material legal, security, or operational risk.

Certain models may also be subject to safety restrictions imposed by the organizations operating those models.

Eaon may refuse or block requests where necessary to comply with applicable restrictions.

17. Your Content

“Input” means prompts, messages, code, files, images, instructions, or other information you submit to Eaon.

You retain whatever rights you already possess in your Input.

You grant Eaon a limited license to host, transmit, reproduce, process, and temporarily or persistently store Input as reasonably necessary to:

  • provide the Service;
  • process requests;
  • provide conversation history or synchronization features;
  • maintain security;
  • enforce these Terms;
  • provide support; and
  • comply with law.

You are responsible for ensuring that you have the legal right to submit your Input.

18. AI Output

“Output” means content generated by an AI model in response to your Input.

Eaon does not claim ownership of Output solely because it was generated through your Eaon account.

However, the legal rights associated with AI-generated Output may depend on:

  • applicable law;
  • the AI model used;
  • policies applicable to that model;
  • third-party rights;
  • your Input; and
  • whether the Output qualifies for legal protection.

Eaon therefore does not guarantee that Output is copyrightable, exclusive, non-infringing, or owned solely by you.

Other users may receive identical or similar Output.

19. AI Can Be Wrong

AI-generated Output may contain:

  • factual errors;
  • hallucinations;
  • outdated information;
  • harmful suggestions;
  • incorrect code;
  • inaccurate citations;
  • biased information; or
  • misleading conclusions.

You are responsible for evaluating Output before relying on it.

Important information involving health, law, finance, employment, security, safety, or other consequential matters should be independently verified.

20. No Professional Advice

Unless expressly stated otherwise, AI Output provided through Eaon is not a substitute for professional legal, medical, financial, accounting, or other regulated professional advice.

21. Model Provider Restrictions

Some AI models accessible through Eaon may be subject to additional technical, safety, copyright, or acceptable-use requirements.

Eaon may enforce such requirements through technical controls or account restrictions where necessary to maintain access to those models or comply with applicable obligations.

22. Service Changes

Eaon may modify:

  • models;
  • features;
  • interfaces;
  • APIs;
  • rate limits;
  • usage limits;
  • context windows;
  • routing;
  • supported tools;
  • usage-accounting methods; or
  • other aspects of the Service.

We may make immediate changes where necessary because of:

  • security incidents;
  • provider outages;
  • abuse;
  • infrastructure failures;
  • legal requirements; or
  • urgent operational issues.

For material adverse changes affecting a paid subscription, we will provide notice where reasonably practical or legally required.

23. Pricing Changes

Eaon may change subscription pricing.

Pricing changes will ordinarily apply beginning with a future billing period.

Where required by law, we will give advance notice before charging a new recurring price.

24. Security

You may not:

  • probe Eaon's private infrastructure without authorization;
  • attempt to access another user's account;
  • extract internal credentials;
  • obtain private API keys used by Eaon;
  • evade authentication;
  • intentionally expose vulnerabilities;
  • interfere with security mechanisms; or
  • use discovered vulnerabilities for unauthorized access or additional usage.

25. Suspension

Eaon may temporarily restrict or suspend access where we reasonably believe there is:

  • account compromise;
  • fraud;
  • malicious traffic;
  • payment fraud;
  • abusive usage;
  • quota circumvention;
  • a security threat;
  • serious violation of these Terms;
  • legal risk; or
  • material risk to Eaon's infrastructure or service providers.

Where appropriate, we may request additional information before restoring access.

26. Termination

We may terminate an account for serious or repeated violations of these Terms.

You may stop using Eaon and request account deletion at any time.

Cancellation of a subscription and deletion of an account may be separate actions.

Provisions that by their nature should survive termination—including liability limitations, intellectual-property provisions, payment obligations, and dispute provisions—continue to apply.

27. Service Availability

Eaon does not guarantee uninterrupted Service.

Downtime or degradation may result from:

  • maintenance;
  • third-party outages;
  • model-provider outages;
  • capacity limitations;
  • network failures;
  • software defects;
  • security incidents;
  • government action; or
  • circumstances beyond Eaon's reasonable control.

28. Beta and Experimental Features

Eaon may provide beta, preview, experimental, or early-access models and features.

These may:

  • change without notice;
  • produce unexpected results;
  • have lower reliability;
  • be discontinued; or
  • have different limits.

Experimental features are provided without a guarantee of continued availability.

29. Intellectual Property

Eaon software, branding, interface designs, documentation, logos, and original Service materials are owned by Eaon or its licensors.

These Terms do not grant you ownership of Eaon's technology, trademarks, internal infrastructure, or confidential information.

30. Feedback

If you voluntarily provide suggestions or feedback about Eaon, you grant Eaon permission to use that feedback to develop and improve the Service without payment or obligation to you.

This does not transfer ownership of unrelated content you create.

31. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available.”

Eaon makes no guarantee that:

  • the Service will always be available;
  • every request will succeed;
  • Output will be correct;
  • every model will remain available;
  • latency will remain constant;
  • Output will be unique;
  • Output will be suitable for a particular purpose; or
  • the Service will be error-free.

To the extent legally permitted, Eaon disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

Mandatory consumer rights are not affected.

32. Limitation of Liability

To the maximum extent permitted by law, Eaon and its owners, affiliates, contractors, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Service.

This includes loss of:

  • profits;
  • revenue;
  • data;
  • business opportunities;
  • goodwill; or
  • expected savings.

To the maximum extent permitted by law, Eaon's aggregate liability for claims relating to the Service will not exceed the greater of:

(a) $50 USD; or

(b) the amount you paid Eaon during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited.

33. Indemnification

To the extent permitted by law, you agree to be responsible for claims, losses, or expenses arising from your unlawful use of the Service, your intentional violation of these Terms, or content you submit in violation of another person's rights.

This section does not impose obligations prohibited by applicable consumer law.

34. Privacy

Eaon's Privacy Policy explains how personal information and Service data are processed.

AI requests may be transmitted through third-party infrastructure and to the applicable AI model provider to generate responses.

35. Changes to These Terms

We may update these Terms as the Service changes.

For material changes, Eaon will provide notice where reasonably appropriate or legally required.

Updated Terms will state their effective date.

Where permitted by law, continued use of Eaon after new Terms take effect constitutes acceptance.

36. Governing Law

These Terms are governed by the laws of California, United States, excluding its conflict-of-law rules, except where mandatory consumer law requires otherwise.

Any dispute that cannot be resolved informally may be brought before the courts located in California, United States, except where applicable law provides a different mandatory forum.

37. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain effective to the fullest extent permitted by law.

38. No Waiver

Eaon's failure to enforce a provision does not waive its right to enforce that provision later.

39. Entire Agreement

These Terms, the Privacy Policy, checkout terms, and any additional terms expressly presented for a particular feature constitute the agreement between you and Eaon regarding the Service.
